Terms of Service

Please read these Terms of Service ("Terms") carefully before using the hosted Noteeli workspace at app.noteeli.com (the "Service"). The Service is provided by Noteeli ("we", "us", "Noteeli"). The Service is sold and accessed through noteeli.com (the "Portal").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Noteeli is a Markdown workspace that lets you write and organise notes stored in storage you control (SFTP server or Google Drive). Hosted access requires a paid subscription (see §4 Payments).
Noteeli is also open-source software. You may self-host it under the terms of its AGPL-3.0 License. These Terms apply only to the hosted Service at app.noteeli.com.
2. Eligibility
You must be at least 13 years old to use the Service. By using the Service you represent that you meet this requirement.
3. Your account
- You sign in with Google. You are responsible for keeping your Google account credentials secure.
- You are responsible for all activity that occurs under your session.
- Notify us immediately at contact@noteeli.com if you suspect unauthorised access.
4. Payments and subscription
The Service is sold as a monthly recurring subscription priced at €5 per month (price subject to change with notice).
- Payments are processed by Paddle (paddle.com), our Merchant of Record. Paddle issues invoices, handles VAT/sales tax, and manages refunds on our behalf. Your card statement will show
PADDLE.NET*NOTEELI. - Subscriptions renew automatically at the end of each billing period until cancelled.
- You may cancel any time at noteeli.com/account → "Manage billing & cancel". Cancellation takes effect at the end of the current billing period.
- Refund terms are described in our separate Refund Policy.
- We may change pricing for new billing periods. We will notify you in advance of any price increase affecting your renewal.
By subscribing you also accept Paddle's Buyer Terms.
5. Acceptable use
You agree not to use the Service to:
- Store or transmit unlawful, defamatory, or infringing content
- Attempt to gain unauthorised access to other users' data or to our infrastructure
- Reverse-engineer or scrape the Service in a manner that degrades its performance
- Use the Service to send unsolicited messages or to operate a commercial spam operation
We reserve the right to suspend or terminate accounts that violate these rules. Subscription fees for the current billing period are non-refundable in case of termination for cause.
6. Your content
You retain full ownership of the notes and files you create. The Service stores files in your storage backend (SFTP server you control, or your Google Drive); we do not host your content on our servers.
By using the Service you grant us a limited, non-exclusive licence to read and write files in your storage backend solely as needed to provide the Service (e.g. reading a file to display it in your browser).
We do not claim ownership of your content and will never use it for purposes other than operating the Service.
7. Google Drive integration
If you connect Google Drive, you authorise Noteeli to read and write files in your Drive on your behalf, within the scope you approved. You can revoke this access at any time via Google Account Permissions. Revoking access does not delete files already stored in your Drive.
8. Availability and changes
We aim for high availability but make no uptime guarantees. We may modify, suspend, or discontinue the Service at any time. Where possible we will give reasonable advance notice.
We may update these Terms. Continued use after an update constitutes acceptance. The effective date at the top of this page reflects the last revision.
9. Disclaimer of warranties
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free or uninterrupted.
10. Limitation of liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including loss of data.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Governing law
These Terms are governed by the laws of Poland, without regard to its conflict-of-law provisions. Any dispute shall be resolved in the courts of Poland.
